1. Overview
This website is operated by Modest Wholesale ("we", "us" or "our"), a modest fashion manufacturer and wholesaler based in Istanbul, Türkiye. Throughout these Terms of Service, the words "you" and "your" refer to the business that visits our website at https://www.modestwholesale.com, registers an account, requests a quotation or places an order, and to the individuals acting on that business's behalf.
These Terms of Service, together with any other rules, policies or notices we publish on the site, govern your access to and use of the website and of every service, tool, catalogue, account area and product offered through it (together, the "Services"). By visiting the site or placing an order you accept these Terms. If you do not accept them, please do not use the Services.
These Terms are a general template prepared for our own store. They are not legal advice and they have not been reviewed or certified by any authority. Any new feature, collection or tool added to the Services is also subject to these Terms.
2. Access and Account
Our Services are intended for businesses that buy for resale or for other commercial purposes, and not for consumers buying for personal use. By registering an account or placing an order you confirm that you are acting for a business, that you are of the age of majority in your jurisdiction, and that you are authorised to bind that business.
You are responsible for the accuracy of the information you give us when you register, including your company details and delivery address, and for keeping that information up to date. You are responsible for keeping your login credentials confidential and for all activity that takes place under your account. Please tell us promptly if you believe your account has been used without your permission.
We may require verification of your business before granting access to wholesale pricing or approving an order, and we may refuse, suspend or close an account at our discretion, including where information provided to us appears to be inaccurate.
3. Our Products
We supply modest fashion garments on wholesale terms. Our products are sold as full size series: a series is a pack containing one garment per size in that model's size run. Prices shown on product pages are displayed per piece, and an order is charged for the full series, so the amount payable for a model is the per-piece price multiplied by the number of pieces in the series. The composition of a series varies by model and is shown on the relevant product page.
Product images, colour representations and measurements are provided as a guide. Colours can appear differently on different screens, and hand-finished or dyed garments can vary slightly between production batches. We do not warrant that images, descriptions or measurements are exact.
Availability is not guaranteed. Stock and production capacity change continually, and we may limit or discontinue any model at any time.
4. Orders
An order you submit through the Services is an offer to buy. It becomes a binding contract only when we accept it and confirm it to you. Until then we may decline or adjust an order, in whole or in part, including where a product is unavailable, where a price or description was published in error, or where we are unable to verify your business.
Any requirement as to minimum quantities, assortments, order approval steps or lead times applicable to your order will be confirmed to us in writing before the order is accepted. If you need to know the requirements that apply to a particular model or market before you buy, please contact us and we will confirm them.
Requests to change or cancel an order after it has been confirmed are handled case by case, depending on how far production and packing have progressed. Please contact us as soon as possible if you need to make a change; we cannot promise that a change or cancellation can be accommodated.
5. Prices and Billing
Prices are shown per piece in the currency displayed on the site and are exclusive of shipping, insurance, duties, import taxes and any bank or transfer charges unless we state otherwise in writing. Prices may change at any time before an order is confirmed. The prices that apply to your purchase are those set out in the order confirmation we issue to you.
The accepted payment methods, currency, payment timing and any credit arrangements applicable to your order are those stated in the order confirmation or invoice we send you, or as otherwise agreed in writing. If you would like to discuss payment arrangements before ordering, please contact us.
You are responsible for all import duties, customs charges, local taxes and clearance fees levied in the destination country, unless we have expressly agreed otherwise in writing for a particular shipment.
6. Shipping and Delivery
We ship worldwide from Istanbul, Türkiye. Orders are dispatched using couriers, cargo agents or freight forwarders, and the carrier, service level, incoterms, packing method, shipping charges and estimated dispatch and transit times applicable to your order are confirmed in the order confirmation or shipping quotation we provide. We do not publish standard delivery timeframes or shipping rates on this site; to obtain a quotation for your destination, please contact us.
Transit times quoted by carriers are estimates only. Delays caused by carriers, customs authorities, weather, public holidays or other events outside our control are not within our responsibility, although we will assist you in tracing a delayed shipment.
You are responsible for ensuring that the goods may lawfully be imported into the destination country and that you hold any licence or registration required there. Please check any labelling, documentation or certification your market requires before you order, and contact us if you need to confirm what we can supply.
7. Intellectual Property
All content on the Services, including the Modest Wholesale name and logo, photographs, look books, product descriptions, page copy, graphics, layout and code, is owned by us or by our licensors and is protected by intellectual property law. Our garment designs, patterns and prints remain our property.
We grant you a limited, revocable, non-exclusive and non-transferable licence to use product images and descriptions from the Services for the sole purpose of reselling the goods you have bought from us. You may not remove or obscure any credit or watermark, and you may not present our designs as your own. Any other reproduction, distribution, adaptation or commercial use of our content requires our prior written consent.
You may not copy, reverse engineer or manufacture our designs, or have them manufactured by a third party, whether in whole or in part.
8. Optional Tools
We may give you access to third-party tools through the Services, such as size or currency converters, chat and messaging widgets, catalogue viewers, analytics and marketing tools. We provide these on an "as is" and "as available" basis, without any warranty, endorsement or representation of any kind, and we accept no liability arising from your use of them. Your use of an optional tool is entirely at your own risk, and you should review the provider's own terms before using it. New tools we add in future are also covered by these Terms.
9. Third-Party Links
The Services may contain links to websites, social media profiles and resources operated by third parties. Those materials are not controlled or examined by us, and we are not responsible for their content, accuracy, legality or for any harm or loss connected with them. A link is not an endorsement. Complaints, claims or questions about a third-party product or service should be directed to that third party.
10. Relationship with Shopify
Our store is hosted on Shopify, which supplies the online platform that lets us offer the Services to you. Shopify is a service provider to us; it is not the seller of our products and it is not a party to the contract between you and us. Information you submit through the Services is transmitted to and processed by Shopify as described in our Privacy Policy and in Shopify's own documentation.
11. Privacy Policy
Our Privacy Policy explains what personal information we collect through the Services, how we use and share it, and the rights you may have. It forms part of your agreement with us, and you should read it alongside these Terms. It is published on this website.
12. Feedback
If you send us ideas, suggestions, sample requests, design proposals, photographs or other materials, whether at our request or on your own initiative, you agree that we may use, copy, adapt, publish and act on them without restriction, without any obligation of confidence, and without payment or acknowledgement to you. We are under no obligation to keep any submission confidential, to respond to it, or to explain why we have not acted on it. You are responsible for ensuring that anything you send us is lawful, is not defamatory and does not infringe anyone else's rights.
13. Errors, Inaccuracies and Omissions
Occasionally information on the Services may contain typographical errors, inaccuracies or omissions relating to product descriptions, composition, size series, pricing, availability, promotions or lead times. We reserve the right to correct any error, inaccuracy or omission, and to change or update information or cancel an affected order at any time without prior notice, including after an order has been submitted. Except as required by law, we are under no obligation to update information on the Services. No update or refresh date should be taken to mean that all information has been reviewed.
14. Prohibited Uses
In addition to the other prohibitions in these Terms, you may not use the Services or their content:
- for any unlawful purpose, or to encourage anyone else to act unlawfully;
- to breach any regulation, rule, sanctions regime, export control or law in Türkiye or in your own country;
- to infringe our intellectual property rights or those of anyone else;
- to harass, abuse, insult, defame or discriminate against any person or group;
- to submit false or misleading information, or to impersonate another person or business;
- to upload or transmit viruses or any other code that may affect the operation of the Services;
- to collect or track the personal information of others, or to scrape, spider or crawl the Services;
- to send spam, or to interfere with or circumvent the security features of the Services or any connected network.
We may terminate your use of the Services for breaching any of these prohibitions.
15. Agents
If you place an order through a buying agent, sourcing office, freight agent or other representative, you remain responsible for that person's acts and omissions in connection with your order, and we may treat instructions received from them as instructions given by you. We are not responsible for any commission, fee or arrangement between you and your agent, and an agent acting for you has no authority to bind us or to vary these Terms.
16. Termination
The obligations and liabilities incurred by both parties before the date of termination survive termination for all purposes. These Terms remain in effect unless and until terminated by either you or us. You may terminate by notifying us that you no longer wish to use the Services and by discontinuing your use of the site. We may terminate at any time, without notice, if we believe that you have breached these Terms or that continuing to supply you would expose us to legal or commercial risk, and we may deny you access to the Services accordingly. Termination does not affect any confirmed order that is already in progress unless we tell you otherwise.
17. Disclaimer of Warranties
We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free, or that the results obtained from using them will be accurate or reliable. We may withdraw or suspend the Services for any period without notice to you. To the fullest extent permitted by law, the Services and all products supplied through them are provided "as is" and "as available", without warranties or conditions of any kind, whether express or implied, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, durability, title or non-infringement. Nothing in this section limits any right that cannot be excluded under applicable law.
18. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive loss, including lost profits, lost revenue, lost savings, loss of data, loss of goodwill or loss of business opportunity, arising from your use of the Services or of any product bought through them, whether the claim is based in contract, tort, strict liability or otherwise, and whether or not we were advised that such loss was possible. Where liability cannot be excluded, our total aggregate liability in connection with an order is limited to the amount you paid us for that order. Nothing in these Terms excludes liability for fraud or for anything else that cannot lawfully be excluded.
19. Indemnification
You agree to indemnify, defend and hold harmless Modest Wholesale, its owners, officers, employees, agents, suppliers and service providers against any claim, demand, loss, liability or expense, including reasonable legal fees, brought by a third party and arising out of your breach of these Terms or of any document they incorporate, your violation of any law or of the rights of a third party, or your resale, marketing, labelling or onward supply of the goods you buy from us.
20. Severability
If any provision of these Terms is found to be unlawful, void or unenforceable, that provision is enforceable to the fullest extent permitted by applicable law, and the unenforceable part is severed from the remaining provisions. Severance does not affect the validity and enforceability of anything else in these Terms.
21. Waiver and Entire Agreement
Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision. These Terms, together with any policies or operating rules we publish on the Services and any written order confirmation or agreement between us, constitute the entire agreement between you and us and supersede any prior understanding, whether oral or written. Any ambiguity in the interpretation of these Terms will not be construed against the drafting party.
22. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer ours to an affiliate or to a successor in connection with a merger, acquisition or sale of assets, provided your rights under confirmed orders are not adversely affected.
23. Governing Law
These Terms of Service, and any separate agreement by which we supply you with products or services, are governed by and interpreted in accordance with the laws of the Republic of Türkiye, without regard to its conflict of law rules. The courts and enforcement offices of Istanbul, Türkiye have jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to any mandatory rule of law that gives you the right to bring proceedings elsewhere.

The headings and section numbers used in these Terms are included for convenience only. They do not limit or otherwise affect the meaning or interpretation of the provisions to which they relate.
25. Changes to Terms of Service
You can review the most current version of these Terms at any time on this page. We may update, change or replace any part of these Terms by posting a revised version on this website, and it is your responsibility to check the page periodically. Your continued use of the Services after a change is posted means you accept it. Changes do not apply retroactively to an order we have already confirmed.
